Agreement
This End-User License Agreement ("Agreement") is a legal agreement between you and Granite Manager for use of the Granite Manager software and related services (the "Service").
If you use the Service on behalf of a company, you represent that you have authority to bind that company. In that case, "you" means the company and its authorized users.
License Grant
Subject to this Agreement and your company’s subscription or authorized use, Granite Manager grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service except as expressly permitted by law or with our prior written consent.
Accounts and Acceptable Use
You are responsible for maintaining the confidentiality of account credentials and for all activity under your account.
You agree not to misuse the Service, interfere with its operation, attempt unauthorized access, upload unlawful content, or use the Service in violation of applicable law or third-party rights.
Your company administrators may manage users, permissions, and integrations within the Service.
Third-Party Services
The Service may integrate with third-party services, including QuickBooks Online through Intuit. Your use of those services is subject to the third party’s terms and policies.
Granite Manager is not responsible for third-party services, their availability, or their handling of your data. You authorize Granite Manager to access third-party services that you or your administrators connect to the Service.
QuickBooks and QuickBooks Online are trademarks and service marks of Intuit Inc. Granite Manager is not affiliated with or endorsed by Intuit Inc.
Customer Data
As between you and Granite Manager, you retain ownership of business data you submit to the Service. Granite Manager may process that data only to provide, maintain, secure, and improve the Service and as described in the Privacy Policy.
You are responsible for obtaining any rights, consents, and notices required for the data you submit and for configuring integrations appropriately for your business.
Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANITE MANAGER DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Granite Manager does not guarantee that the Service will be uninterrupted, error-free, or that accounting, invoice, or third-party data will always be complete or current.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANITE MANAGER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRANITE MANAGER’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT PAID BY YOU TO GRANITE MANAGER FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS IF NO FEES WERE PAID.
Termination
We may suspend or terminate access to the Service if you violate this Agreement or if required for security, legal, or operational reasons.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination will survive.
Changes
We may update this Agreement from time to time. If we make material changes, we will post the updated Agreement on granite-manager.com and update the "Last updated" date.
Continued use of the Service after changes become effective constitutes acceptance of the updated Agreement.
